Terms and conditions of service


 
 
  1. Products

    a. Exact resemblance of the product supplied to samples submitted cannot be guaranteed.

    b. Any descriptions of materials are given for guidance only and do not imply suitability of the materials for any particular purpose.

    c. All thicknesses quoted are nominal and the supplier cannot accept liability for reasonable variations, whatever the nature of these.

    d. No representations, warranties or conditions are given as to the quality of the materials supplied to their fitness for any purpose, job or use which the purchaser intends for the material supplied. The purchaser should inspect the materials himself and satisfy himself thereby that they are of the quality and suitability for the purposes for which he intends to use them.

    e. The company accepts no liability for the slabs it may choose on behalf of the customer.

    f. Palaeo is not responsible for any direct or consequential damages that may arise from the use or installation of our natural stone products.

  2. Natural Stone

    a. Natural stone products, such as granite, marble, limestone, travertine, and slate, are inherently unique. Variations in colour, texture, veining, and pattern are to be expected. Mineral veins and fossils may be present in natural stone, underscoring its authenticity. These variations are the result of natural geological processes and are not defects. Each piece is unique, contributing to the distinctive charm of natural stone products. We cannot guarantee that the product you receive will be identical to the images or samples you see.

    b. Natural stone may exhibit surface irregularities such as pits, fissures, dimples, and vents. These are natural features and are not considered defects.

    c. Where necessary these materials are stopped cramped or reinforced and no claim on this account can be made.

    d. Upon request, a full disclaimer for natural stone can be supplied. This is also available on our website (www.palaeo.co.uk).

  3. Engineered Stone

    a. Engineered quartz and ultra compact stones (UCS) are manmade materials and as such variations in colour, texture, veining, and pattern are to be expected.

    b. We cannot guarantee that the product you receive will be identical to the images or samples you see.

  4. Orders

    a. Any quotations are valid for a period of 90 days from the date of quote unless otherwise stated and will be subject to these terms and condition. Templating / Site surveys must commence within this period.

    b. All material reservations are subject to a set period based on each individual supplier. Should the reservation period end, we reserve the right to revisit any quote within the 90-day period.

    c. To secure materials past the reservation period at the agreed material costs, deposit payments must be made immediately. Upon receipt of payment Palaeo will order and secure the materials.

    d. The contract shall be made when the Company acknowledges the order placed by the Customer in writing and not before.

    e. Unless otherwise agreed, the Customer shall make payment for 50% of the quoted amount. This deposit serves as confirmation of all such details that have been provided by the customer thus far. The Customer shall be under a duty to bring any discrepancies to light immediately. If the Customer fails to do so, and any information found to be incorrect, dangerous or of significant variation, The Company reserves the right to make changes to the contract. If the Contract is changed, the Customer will be notified in writing of any details therein.

    f. Deposits serve as a priority for the next available date on a first come first serve basis for templating / survey and will be offered based on the needs and proceedings of The Company and The Customer in that order.

    g. Unless otherwise agreed, dates can not be scheduled until deposit payments have been received.

    h. Any provisional requested survey / template date must be confirmed in writing no later than 10 days prior to that date.

    i. No order which has been accepted by the Company may be cancelled by the Customer except with the agreement in writing of the Company and on terms that the Customer shall indemnify the Company in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by the Company as a result of cancellation.

  5. Manufacture of Goods

    a. Where the Company is the manufacturer of the Goods, the Goods will be manufactured to and above the normal trade standard having regard to all the circumstances including but not limited to the nature of the materials and manufacturing processes involved.

    b. For materials containing patterns or veining: Book matching or flowing of multiple pieces will be done to the best of the company’s ability and in some instances may not be possible where necessary provisions in material have not been made or where there is differing properties across materials. While we strive for accuracy, slight variations may occur during the process. These variations are within industry-accepted tolerances and contribute to the uniqueness of each piece.

    c. Upon request, a full disclaimer for bookmatch and vein flow can be supplied. This is also available on our website (www.palaeo.co.uk).

  6. Payment Terms & Order Processing

    a. Unless otherwise agreed, upon receipt of an order, a pro-forma invoice for 50% of the agreed quote will be sent via email and must be paid for the order to commence further. Once deposit payments have been received, template / survey dates can be agreed and scheduled, and materials can be reserved or ordered.

    b. Unless otherwise agreed, balance payments must be made prior to the commencement of fabrication and scheduling of installation dates.

    c. Only when payment has been received will installation dates be offered.

    d. Generally, templating to installation time is 5 – 10 working days providing communication and payments are in good timing. However, this is subject to multiple factors:

    i. Communication,

    ii. Payments,

    iii. Material availability,

    iv. Schedule availability,

    v. Changes in contract, design, or both,

    vi. Site or access constraints,

    vii. Fabrication requirements,

    viii. Fabrication constraints,

    ix. Material temperament,

    x. Material constraints.

  7. Remaining Payments & Ownership

    a. Notwithstanding any terms for payment agreed, any remaining payments for all materials or goods delivered to or collected by the purchaser shall become due immediately upon the commencement of any act or proceeding in which the solvency of the purchaser is involved.

    b. The ownership of the materials delivered to or collected by the purchaser pursuant to this invoice shall remain with the seller until payment in full has been received for these materials and for any other materials delivered to the seller or their agents or collected by the purchaser pursuant to any other contract. If the purchaser resells any goods or materials delivered by the seller or their agents or collected by the purchaser pursuant of this invoice by the way of bona fide sale at full value or otherwise, the proceeds of such sale shall be held by the purchaser as trustee for and to the account of the seller until such time as the seller shall have received payment on full for any materials or goods delivered by the seller of their agents or collected by the purchaser whether pursuant of this invoice or any other contract under which the seller has supplied materials or goods to the purchaser.

  8. Other

    a. The risk in all materials or goods supplied shall pass to the purchaser upon completion or delivery. In the event where the goods are available for collection at the Company’s premises, the risk shall be passed to the purchaser after the loading, but prior to the securing of the goods. The seller shall thereafter have no responsibility in respect of the safety or otherwise of the materials or goods against all risks as he sees fit.

    b. The seller reserves the right to dispose of all materials or goods the ownership of which the ownership is reserved to the seller pursuant to Clauses 7a and 7b above, if not paid for in accordance with the terms of the quotation and if such payment is overdue in whole or impart the seller may by its servants or agents (without prejudice to any of its other rights) recover and resell the goods or materials or any of them may be lawfully enter upon the premises of the premises of the purchaser or any other place to which he has delivered or consigned them, for that purpose.

    c. If these terms and conditions are at variance with or inconsistent with any term or condition contained in the purchaser ‘s order, then these terms and conditions shall prevail and be effective.
